COMMUNIQUE TO MEMBERS – PROPOSED GOVERNANCE CHANGES

The Board, assisted by the Constitution and By-laws Review Committee, started developing proposals to modernize the Club’s governance structure in 2020.

The options to change the Board structure (and inherently the committee structure) were based on the following requirements:

  • Better focus the Board on strategic versus operational matters.
  • Attract the right candidates with the right skills to be Directors.
  • Better reflect the Club’s new membership structure and its diversity.
  • Reduce any hindrances to attracting the right people to the Board.
  • Enhance the Club’s ability to identify risk, assess, and manage risks effectively.
  • Better position the Club to respond to the evolving needs of its Members and an ever-changing external environment.
